XportPro, Licensing
XportPro is a commercial software product, and Source Code licenses are available for 30.00. Licensee's are allowed to use the Source Code in their commercial and non-commercial products, as long as they abide by the License Agreement illustrated below. Usage of the Source Code has no time limitations after purchasing a commercial license. Updates to the Source Code, however, are limited by subscription. Purchasing a new License provides you with a one year subscription, in which all updates are freely downloadable on this site. Subscriptions can be renewed for $20.00, and are good for one year from the original license period anniversary date.
Please read XportPro's commercial license agreement below carefully. This license is also distributed with the source code files you will receive upon purchasing a commercial license of XportPro.
Commercial Source License Agreement for XportPro
Datasoft Solutions offers to grant a source license to Licensee, defined below.
Definitions
For the purpose of this Commercial Source License Agreement, the following definitions are valid.
Source Code means all source files developed by Datasoft Solutions within the distributed versions of XportPro.
The Licensee refers to the organization or individual that purchases the Commercial Source License Agreement.
A Competing Product is a software package with the primary purpose to reproduce, generate or parse html or xhtml documents.
A Developer is an individual who has obtained a single Commercial Source License to XportPro and has registered that license with Datasoft Solutions.
A Software Product is any application, framework, or element that you develop using the Source Code in accordance with this License Agreement.
Purpose
This is a non-exclusive, non-transferable, non-sublicensable license to the Source Code. Datasoft Solutions agrees to provide the Source Code to Licensee subject to the terms of this agreement. The Licensee may modify any of the Source Code as they would like. The Licensee may further modify any of the Source Code for Licensee's internal use. In addition Licensee may use XportPro in any software other than Competing Products. Licensee may not use the Source Code for any purpose other than stated in this license.
License
Datasoft Solutions agrees to provide the Source Code to Licensee. Licensee may designate a single Developer per Commercial Source License as the sole user authorized to access the Source Code. If a designated Developer leaves the organization or is transferred from the department, Licensee may change the Developer after notifying Datasoft Solutions of the transfer. The Source Code may be used only by the designated Developer. Each Developer may install and use one copy of the Source Code on any computer system the Developer operates, as long as the Developer can be sure that he/she is the sole user and that he/she only has the Source Code on one machine at a time.
Other Licensing Options
XportPro may contain source code which is part of Xport, an open source library which is also owned by Datasoft Solutions and distributed under version 3 of the GPL Open Source License. Source files contained in Xport are distinguished by the GPL notice in the header of the source file. The source files in Xport and XportPro are non-transferable, since their licenses are not compatible. This commercial license applies only to the source code files distributed with XportPro, and not those distributed with Xport.
Licensee agrees to purchase enough source licenses to cover all individuals who can access the Source Code. For example, seven (5) individuals with access to any of the Source Code will require seven (5) source licenses.
Compensation
The license fee for the license granted is $30.00 (forty U.S. dollars). This price is subject to change at any time. Current license holders will be subject only to the price of subscription renewals, and not be held liable for any price increases of initial purchases.
Distribution
You may distribute a Software Product that you develop using the Source Code in accordance with this License Agreement. You must not remove, obscure or interfere with any copyright, acknowledgment, attribution, trademark, warning or disclaimer statement affixed to, incorporated in or otherwise applied in connection with the source code.
You are required to ensure that the source code is not reused by or with any applications other than those with which You distribute it as permitted herein.
You will not owe Datasoft Solutions any royalties for your distribution of your Software Product in accordance with this License Agreement.
Confidentiality
The Licensee acknowledges that the Source Code and the algorithms received through this Agreement are critical to the operation of Datasoft Solutions. The Licensee agrees to keep the Source Code, algorithms, concepts, and samples that Datasoft Solutions supplies under this Agreement confidential. The Licensee further agrees not to disclose the Source Code or its algorithms to any third party for any reason.
Non-Competition
The Licensee acknowledges that they are not now and do not plan to develop Competing Products. The Licensee agrees not to use the Source Code algorithms, or any information learned from the Source Code in any Competing Product.
Copyright
The Licensee agrees to leave Datasoft Solution's copyright notice in the Source Code.
Termination
Datasoft Solutions may terminate Licensee's license if the Licensee fails to comply with any of the terms and conditions of this Agreement. On termination all copies of the Source Code must be destroyed.
Updates
Datasoft Solutions will make available to Licensee updates to the Source Code released by Datasoft Solutions for one (1) year following the Effective Date of this agreement. Licensee is responsible to integrate any updates to the Source Code into modified versions that the Licensee has developed. If the Licensee decides to receive updates beyond the first year, the fee for each additional year of updates is $20.00.
Modification
Any modifications the Licensee makes to the Source Code that are delivered to Datasoft Solutions become the exclusive property of Datasoft Solutions. Datasoft Solutions may, but is not obligated to, integrate those modifications into XportPro and/or Xport.
Delivery
Software and any updates will be delivered electronically from Datasoft Solutions's web site, http://www.xportpro.com. Licensee acknowledges delivery by downloading.
Support
Datasoft Solutions will provide e-mail support to the Developer for general questions about the Source Code for Licensee's who are within their subscription period. Datasoft Solutions is not responsible for developing or debugging code.
Notices
Notices under this Agreement will be sent via e-mail. Both parties agree to notify the other party one week before their e-mail address changes at support@xportpro.com.
Disclaimers
The Source Code is provided "as is" without any warranty of any kind, either expressed or implied. In no event will Datasoft Solutions be liable for any loss of profit or any other commercial damage, including but not limited to special, incidental, consequential or other damages.
Laws
If the Licensee is located in the United States, this Agreement will be construed, interpreted, and governed by the laws of the State of Nebraska.
PROHIBITED USES
You may not, without prior written consent of Datasoft Solutions, redistribute the Source Code or Modifications. You are explicitly not allowed to redistribute the Source Code or Modifications as part of any Software Product that can be described as a development toolkit or library or is intended for use by software developers and not end-users. You are not allowed to redistribute any part of the Software documentation.
You may not: a) use any part of the Source Code or Modifications or Your knowledge of the Source Code (or any information that You learn as a result of Your use of the Source Code) to create a product with the same or substantially the same functionality as the Source Code; b) transfer, rent, lease, or sublicense the Source Code or Modifications, or any portions thereof; c) change or remove the copyright notice from any of the files included in the Source Code or Modifications.
Under no circumstances may you use the Source Code as the basis for or in connection with a Competing Product.
